1. Acceptance of Terms

By accessing factoHR Bangalore or using any of our services, you confirm that:

• You have read and understood these Terms
• You are of legal age to form a binding agreement
• If acting on behalf of a business, you have authority to bind that organisation

If you do not agree to these Terms, please do not use our services.

2. Our Services

factoHR Bangalore provides cloud-based HR and payroll management software for Bangalore and Karnataka businesses, including:

• Payroll Processing — automated payroll, statutory deductions, payslip generation
• Attendance & Leave Management — GPS check-in, biometric integration, leave workflows
• Recruitment & ATS — applicant tracking and interview management
• Performance Management — OKRs, appraisals, 360° feedback
• Employee Self-Service — mobile and web access for employees
• Statutory Compliance — Karnataka PT, ESI, PF, LWF, and Gratuity
• HR Analytics — dashboards and exportable reports

We may update or modify our services at any time with reasonable notice to active subscribers.

3. Your Account & Acceptable Use

Account Responsibilities

• Provide accurate and truthful information when registering
• Keep your login credentials confidential
• Notify us at hello@hrsoftwarebangalore.com if you suspect unauthorised access
• Take responsibility for all activity under your account

Accounts inactive for more than 120 days may be permanently deleted.

Prohibited Activities

You must not:

• Upload unlawful, abusive, or defamatory content
• Impersonate any person or organisation
• Reverse engineer or attempt to extract source code from our software
• Use automated bots or scrapers without written permission
• Introduce viruses or malicious code into our systems
• Use the platform in violation of any applicable Indian law

Violations may result in immediate account suspension without refund.

4. Data & Privacy

• You own your data. All employee records, payroll data, and documents you upload remain yours.
• Limited licence to us. You grant us permission to process your data solely to deliver our services.
• Security. We are ISO 27001:2022 certified and SOC 2 Type II audited. All data is encrypted in transit (SSL 256-bit) and at rest.
• Privacy Policy. Your use of our services is also governed by our Privacy Policy, which forms part of these Terms.

5. Payment & Billing

• Subscriptions are billed quarterly or annually based on the plan and employee count agreed at sign-up
• Payment is due by the date on your invoice. Late payment may result in account suspension
• Refunds are generally not provided except where required by law. Billing disputes must be raised within 30 days
• Price changes will be communicated with at least 30 days' notice via email

6. Liability & Termination

Disclaimer

Our services are provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free operation.

Limitation of Liability

Our total liability for any claim shall not exceed the fees paid by you in the one month preceding the event. We are not liable for indirect, incidental, or consequential losses including loss of data, profits, or business opportunities.

Termination

• By you: Cancel any time by writing to us. Termination takes effect at the end of your billing period
• By us: We may suspend or terminate your account immediately for breach of these Terms, or with 30 days' notice without cause
• After termination, data is retained for 15 days then permanently deleted within 30 days

7. Governing Law & Contact

Governing Law

These Terms are governed by Indian law. Disputes shall first be resolved through negotiation, and if unresolved within 30 days, through binding arbitration in Rajkot, Gujarat under the Arbitration and Conciliation Act, 1996.

Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email at least 14 days before they take effect. Continued use of the platform after that date constitutes acceptance.
